Gems & Shine Affiliate Program Agreement

This agreement is between Brand Addict Limited, Hong Kong, trading as Gems & Shine ("Gems & Shine", "we", "us"), and the person or entity approved to participate in our affiliate program ("you"). Contact: admin@brandaddict.co. This agreement takes effect for an affiliate when the published agreement is accepted and the affiliate is approved.

1. Joining the program

You must be at least 18, legally able to enter this agreement, and provide accurate contact, website/social-channel and payment information. If applying for an entity, you must have authority to act for it. Applications are reviewed individually. Registration alone is not acceptance. Participation and commission eligibility begin only after written approval and issuance of an active referral link. Pending and blocked accounts do not have affiliate dashboard access.

There is no enrollment fee, minimum purchase requirement or guaranteed income. Product gifting, paid content, bonuses and advertising budgets require a separate written agreement; none is promised by joining.

2. Commission and eligible purchases

The standard commission is 10% of eligible product revenue after discounts, excluding shipping and taxes. There is no commission on your own purchases, test transactions, fraudulent or duplicate orders, unpaid orders, cancelled or voided orders, or refunded amounts. Partial refunds reduce the eligible revenue and require manual review. A pending balance is an estimate, not an approved payment obligation.

Orders must be validly attributed through the program's active tracking system and satisfy this agreement. You may request review of missing or incorrect attribution by providing the relevant link, click/order dates and non-sensitive supporting information. We will review available tracking and order records in good faith. Do not send customer payment-card information or passwords.

3. Referral window and tracking

The referral window is 30 days from a valid tracked referral click. Keep the referral link intact. Tracking can be affected by cookie consent, browser restrictions, blockers, device changes and use of another referral link. An order is not guaranteed to qualify merely because it occurs within 30 days; it must be recorded and attributed to your referral under the configured tracking rules.

Coupons do not create an independent commission entitlement unless assigned and expressly authorized by us. No lifetime attribution, recurring commission or entitlement after the referral window is promised.

4. Review and bank payments

Approved payable commissions are paid manually by bank transfer on the 15th of each month. Only eligible orders placed at least 30 days before the payment date are included, following review of payment status, cancellations, returns, refunds and program compliance. Orders still under a documented review carry forward until resolved; review must not be used to withhold valid earned commissions indefinitely.

The minimum payable balance is USD 25. Smaller balances and commissions not yet eligible carry forward to a later monthly payment cycle. Statements and commission balances are in USD. Valid beneficiary and bank-routing details are required before payment. We do not require your online-banking password or login credentials. Missing or incorrect payment details may delay payment until corrected; they do not erase a valid earned balance.

If the 15th is not a banking business day, payment will be initiated on the next banking business day. Bank processing may take additional time. We cover our bank's sending fee; receiving-bank/intermediary fees and currency-conversion charges, if any, are borne by the affiliate. Each party is responsible for taxes legally applicable to it; legally required withholding may be deducted with supporting documentation where required.

If an order is refunded after commission payment, any corresponding overpayment will be documented and may be offset against future commissions. We will explain the adjustment and allow a reasonable opportunity to question it. This provision does not authorize an automatic debit from your bank account.

5. Honest promotion and disclosure

Promote products accurately and only make claims you can support. Do not claim personal experience you have not had or present affiliate content as an independent unpaid recommendation. Clearly disclose the financial relationship near each relevant endorsement or link, in the language of the content, in a place people will notice before acting. For example: "I earn a commission if you buy through this link." For video or live content, make the disclosure noticeable in the content itself, not solely in a description. Platform disclosure tools do not replace an otherwise inadequate disclosure.

Comply with applicable advertising, consumer-protection, privacy and platform requirements. Do not use spam, misleading promotions, fake reviews, impersonation, cookie stuffing, forced redirects, unauthorized tracking or incentives, or trademark/domain impersonation. Paid advertising, brand-keyword bidding, coupon/deal-site distribution and sub-affiliate arrangements require our prior written permission.

6. Brand materials and content

During approved participation, you may use materials we expressly provide for affiliate promotion solely to promote Gems & Shine. Do not materially misrepresent products or imply you are an employee or authorized agent. Stop using our materials when participation ends. You retain ownership of your original content. Joining does not grant us paid-ad, whitelisting or other reuse rights to your original content; those require separate written permission.

7. Data and communications

We use application, contact, referral and necessary payment information to assess applications, administer the program, calculate commissions, communicate about participation, prevent abuse and make payments. Our service providers, including GoAffPro and payment providers, may process information as needed for these purposes. Our store privacy policy applies: https://gemsandshine.com/policies/privacy-policy . Requests for access, correction or information about handling program data can be sent to admin@brandaddict.co.

Provide bank details through the designated affiliate payment form or another secure method we specify. Do not publish bank details in social content or submit customer lists. We will limit access and retention to what is reasonably needed for program administration and applicable recordkeeping duties. Any additional marketing use requiring consent will be handled separately.

8. Changes, suspension and termination

Either party may end participation by written notice. We may suspend participation immediately for suspected fraud, misuse or serious breach while reviewing the issue. Suspension is not an automatic forfeiture of valid commissions. On termination, remove affiliate links and brand materials. Valid commissions earned before termination remain subject to review and payment under this agreement; no new referrals qualify after termination.

We will give at least 30 days' written notice of material changes to commission rates or commercial terms, except where an earlier change is legally required or necessary to address fraud or security abuse. Changes apply prospectively and do not remove valid commissions already earned. You may stop participating before changes take effect.

9. Independent relationship and disputes

You participate as an independent contractor and cannot bind Gems & Shine to contracts or make promises on our behalf. Neither party guarantees sales, uninterrupted tracking or profits. Nothing in this agreement limits liability or rights that cannot lawfully be limited.

Please first contact admin@brandaddict.co about a dispute so we can try to resolve it in good faith. Subject to any mandatory law, this agreement is governed by Hong Kong law, and Hong Kong courts have jurisdiction.

10. Acceptance and program documents

This agreement is linked during application and must be accepted before participation is approved. The brand-specific agreement governs the program's commercial terms over inconsistent generic portal wording, to the extent we can lawfully replace that wording; separate GoAffPro service terms remain separate.
